(“Aftermath”). The execution by the parties of a definitive agreement in respect of the proposed Transaction was announced by the Company on February 15, 2023.The Transaction is a fundamental acquisition for the Company, as defined in the policies of the TSX Venture Exchange (the “TSXV”), and completion of the proposed acquisition is subject to a number of conditions, including receipt of TSXV approval.
